This Agreement governs your use of this web site and all of its affiliated web sites and the services they provide (collectively, the “Web Site”). Please read it carefully before using the Web Site. Site management may modify the terms and conditions of the Agreement at anytime. In such event, Site Management. will post the modified terms on the Web Site.

Information received through the Web Site may be reformatted, displayed, and printed for your personal, noncommercial use on the condition that you do not change, delete, hide, remove, or in any way make ineffective the trademark, copyright, or proprietary notices therein. If you use software, files and images contained in or generated by software, or data accompanying software (collectively referred to as the “Software”) from the Web Site then you are deemed to have accessed such Software solely for your personal use. Site Management transfers neither the title nor the intellectual property rights to the Software upon the use of the Software. Rather, Site Management retains full and complete title to the Software as well as all intellectual property rights. Site Management disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material contained on the Web Site. Site Management disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material in respect to the Web Site. Site Management disclaims any responsibility for any harm resulting from downloading or accessing any information or material on or thorough the Web site. Site Management has no duty or policy to update any information or statements contained on the Web Site, and therefore, such information or statements should not be relied upon as being current as of the date you access this site. Moreover, any portion of the materials available on the Web Site may include technical inaccuracies or typographical errors. Limitation of Liability. IN NO EVENT WILL SITE MANAGEMENT, OR ANY OF ITS AFFILIATES OR SUBSIDIARIES, BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DMAGES, LOSSES OR EXPENSES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, DISCLOSURE OF CONFIDENTIAL INFORMATION, LOSS OF PRIVACY AND LOSS OF USE, ARSISING IN CONNECTION WITH THIS SITE OR USE THEREOF OR INABILITY TO USE BY ANY PARTY, OR INCONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS OR SYSTEM FAILURE, EVEN IF Site Management, HF, OR AFFILIATES THEREOF, ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES. IN ADDITION, IN NO EVENT WILL Site Management, HF BE LIABLE FOR ANY ACT OR OMISSION OF ANY THIRD PARTY INCLUDING, BUT NOT LIMITED TO, ANY PROVIDER OF TELECOMMUNICATIONS SERVICES, INTERNET ACCESS OR COMPUTER EQUIPMENT OR SOFTWARE OR FOR ANY CIRCUMSTANCES BEYOND ITS CONTROL INCLUDING, BUT NOT LIMITED TO, FIRE, FLOOD OR OTHER NATURAL DISASTER, WAR, RIOT, STRIKE, ACT OF CIVIL OR MILITARY AUTHORITY, EQUIPMENT FAILURE, COMPUTER VIRUS, OR FAILURE OR INTERRUPTION OF ELECTRICAL, TELECOMMUNICATIONS OR OTHER UTILITY SERVICES.

Indemnification. You agree to indemnify and hold harmless Site Management and its affiliates and subsidiaries from and against any claims arising out of or relating to:

(i) Content you submit, post to or transmit through the Web Site;

(ii) your connection to the Web Site;

(iii) your violation of this Agreement; or

(iv) your violation of any rights of any person in connection with the Web Site.

Governing Law. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW JERSEY, USA, WITHOUT GIVING EFFECT TO THE CONFLICT OF LAW RULES OF SUCH STATE

Amendments. The terms of this Agreement may be amended by Site Management from time to time. In such event, Site Management will post the amended terms on the Web Site. If you use the Web Site after we post such a change on the Web Site, it will constitute your agreement to the revised terms. You may terminate this Agreement by not using the Web Site if you do not agree with any such amendment.

Termination. Site Management may suspend or terminate your use of the Web Site at any time, without notice for any reason and accordingly deny your access to the Web Site. If termination is for a violation of terms of service, no refund of any moneies paid will me made, and site access will not be restored. Site Management has sole discretion in determining whether to terminate your access to the Web Site. You may also terminate your own use of the Web Site by refraining from using the Web Site. Upon the termination of your use of this Web Site, whether termination is by Site Management or according to your own discretion, you must promptly remove, delete, or destroy all materials downloaded or otherwise obtained from the Web Site, as well as all copies of such materials, whether made under the terms of the Agreement or otherwise.

Assignment. You may not assign the Agreement to any other party. Site Management may assign the Agreement to any current or future, directly or indirectly, affiliated company and to any successor of Site Management. Site Management also may delegate certain rights and responsibilities under the Agreement to independent contractors or other third parties.

Miscellaneous. This Agreement constitutes the full agreement between you and us related to the use of this Web Site. If any provision of this Agreement is held invalid or unenforceable, all other provisions will remain in full force and effect. We may choose not to exercise or to delay enforcement of any of our rights under this Agreement without losing them. Use of the Web Site will constitute your signature to this agreement and evidence that you have read, understand, accept and agree to the terms of the Agreement. You may print a copy of this Agreement for your records.

Copyrights
The Content on the Web Site is protected under U.S., and foreign copyright, patents and trademarks and other laws. All the Content is the property of Site Management its content suppliers, or its affiliates. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the Content, in whole or in part. Site Management authorizes you to view and a single copy of the Content for your personal, non-commercial use.
